Nanox to Acquire VasoHealthcare IT to Speed AI Solution Rollout

Nano-X Imaging (Nanox) has begun a deal to acquire VasoHealthcare IT (VHC IT) from Vaso Corporation. The transaction aims to speed deployment of Nanox’s artificial intelligence (AI) solutions in U.S. healthcare facilities.

VHC IT is a healthcare information technology provider that serves U.S. hospitals and healthcare facilities. The company boasts a team of professional specializing in healthcare IT implementation. Its capabilities include healthcare systems integration, workflow optimization, data migration, user training, and nationwide go-live support for medical imaging.

The company’s established operational and customer-support infrastructure will be integrated with Nanox.AI’s FDA-cleared AI solutions that analyze routine CT scans for indicators of chronic diseases. Once completed, the integration aims to allow quicker deployment and adoption, while reducing time-to-value for healthcare providers.

The transaction is valued for a total consideration of up to $800,000. This consists of a $200,000 cash payment at closing and up to $600,000 in performance-based payments over a two-year period, contingent on revenue retention targets with respect to existing customers.

“As we scale our AI business in the U.S., deployment pace and implementation quality are critical to success,” said Erez Meltzer, CEO and acting chairman of Nanox. “Bringing these capabilities in-house will allow us to control the entire customer experience—from software delivery through go-live support. This acquisition will accelerate our ability to onboard new customers quickly and efficiently.”

Dr. Jun Ma, president and CEO of Vaso, added, “We believe that upon its execution, this transaction will be a positive development for our shareholders and will provide a strong future for the VasoHealthcare IT team as part of Nanox.”

Earlier this year, Nanox won FDA clearance for Nanox.ARC X, its new multi-source digital tomosynthesis system.
